TMAC Special National Board Meeting

Present: Tracy Ford, Dale Dunlop, Paul Knowles, Guy Thériault, Jerry Grymek, Jami Savage, Darcy Rhyno, Monica MacNeil, Kattrin Duncan
This meeting was held to consider the position of Executive Director, and to determine response to comments made by TMAC members concerning the recent national board decision to renew the contract of the current ED for two years.
DD: Declared the meeting open at 12:04 p.m. Noted that although he had offered to recuse himself from discussions of this matter, a number of board members had requested him to continue to be involved. Therefore, he would remain involved in the discussion and decision-making, but turned the chair of this meeting over to VP Tracy Ford.
Considerable discussion ensued, with all members of the board participating. There was general consensus that we will be unable to continue on the same path that was approved in the motion to extend the contract for two years.
After much discussion, it was moved by PK, seconded by DD, that a committee including Jerry Grymek, Darcy Rhyno and Monica McNeil be appointed to carry out a detailed examination of the role of the TMAC ED, including appropriate cost of such a role going forward, and also to consider whether to issue an RFP, and if so, to prepare the contents of such an RFP. If an RFP is approved, the committee shall also determine if and when to invoke the 90-termination clause in the ED contract commencing January 1, 2021. Carried.
It was agreed that before any announcement concerning this committee is communicated to the membership, DD will speak with Elizabeth Kerr; also on the call would be MM and PK.
It was agreed that PK would prepare a draft list of responsibilities of the new committee, as a step toward preparing the committee’s terms of reference, and also, to provide background material for communication with TMAC membership at large, and the group in B.C. that initiated the questions concerning the contract renewal.
DD will prepare a communication that will be sent to all TMAC members from the entire national board.
